Verizon Wireless acquired Alltel on January 9, 2009 for $5.9 billion. It also picked up Alltel’s existing debts to the tune of $22 billion, making the entire acquisition worth more than $27 billion. This made Verizon the largest mobile phone company in the United States. With the inclusion of Alltel, Verizon now has a customer base of 84 million. With services in 33 states, mainly in the South, Midwest, and West, Alltel is one of the largest CDMA carriers. Up to the time of the acquisition, you could purchase Alltel products through the Alltel stores in your locality.

Verizon has assured all Alltel customers that the Alltel retail stores would still be operational. But with time, there would be operational changes in these stores.

This Is Inevitable

In due course all the retail stores dealing in Alltel products would start providing Verizon services and start stocking their phones. Changes have started to occur already and are the noticeable effects of the acquisition. It is inevitable that an Alltel retail store existing in the same shopping mall that also has a Verizon store would shut down.

Verizon has assured its customer base, which now includes Alltel customers, that their area stores are capable of dealing with Alltel services and products. Verizon is still in the process of deciding which of the services and products – of both the companies – it intends to retain. Verizon would like to retain the ‘good’ of the two companies and discard the ‘bad’.

As required by the Federal Communications Commission and the Justice Department, Verizon needs to divest 105 market locations. It goes without saying that most of them would be Alltel operations. It is obvious that most of the Alltel stores would be affected. Though Verizon has not yet decided which stores it will keep, a lot depends on the location and the customer base the store carries.

All the Alltel retail stores will not close all at once. A lot will depend on the location of the store and in what city it is. But these stores will be integrated into the Verizon stores, in due course. As of now, the Alltel retail stores which have not yet been integrated are still dealing in Alltel products.

Verizon uses the Evolution Data Optimized network (EVDO) as its high speed data network. It has already started working on Alltel’s towers to upgrade them to work with its EVDO network. You can still visit the Alltel retail stores and pick up the Alltel phones that work with Alltel’s high speed EVDO network. This will ensure that your phones will still work with Verizon network when Alltel is finally integrated. After acquiring Alltel for $27 billion, Verizon is going to do everything to ensure it does not lose Alltel’s customer base of 13 million customers.

It is expected that Alltel’s billing system would be integrated into Verizon’s billing system by September 2009. Alltel retail stores would be re-modelled and carry Verizon signs. By and by Alltel signs will disappear and be taken over by Verizon.

The $5.9 billion Alltel buyout by Verizon Wireless on January 9, 2009, made it the largest cell phone company in the United States. With this deal, Verizon picks up 13 million customers of Alltel, increasing its customer base to nearly 84 million. It also picks up the Alltel debt to the tune of $22.2 billion, making the total acquisition close to $27 billion! Alltel picked up this debt when it was taken by TPG Capital and a subsidiary of Goldman Sachs – GS Capital Partners.

Verizon is to sell 105 markets found overlapping in 24 states, as a condition forced on it by the regulators at the Justice Department and the Federal Communications Commission. Though most would be Alltel properties, Verizon is also selling its Southern Minnesota’s and Western Kansas’ Unicel operations. Verizon has asked all Alltel customers not to do any thing and that during the transaction period all Alltel retail stores would be operational.

Verizon has said that during the transition period it would assess how best to serve customers and achieve synergy. It is expected that many of the best paying jobs in Alltel may have to go, though Verizon has assured that all below the executive level employees of Alltel would be retained. The assessment of employee retention would take a better part of the year.

Retaining Alltel Phones

With the buyout of Alltel by Verizon, rumours have been going around that all Alltel phones may end up being junk as the Alltel contracts expire. People are confused as to why they need to replace their phones. There is talk of issues such as Preferred Roaming Lists (PRLs). The PRLs are frequencies which particular phones need to in different areas to get reception.

Verizon has debunked these rumours and have assured the customers that as the handsets of both Verizon and Alltel are on the same system, they may be able to keep them. Customers, they say, would be required to replace them on ‘case-by-case’ basis. Of course, Verizon may introduce new equipment, just as Alltel may have done in the past. This will enable the customers to take up the promotion or not, as they would have done in the past.

Just as in the past when Alltel customers picked up phones that were compatible with the plans they selected, the same is true for Verizon. Understand what you want your phone to do. In the past you have picked up a phone depending on what services you required – voice mail?, GPS?, WiFi?.

The merger of the two mobile companies will increase the coverage areas for their customers. Certain areas that have stronger Alltel network, such as the Florida Panhandle, would now be part of the Verizon network.

Hold on to your phones. Do not throw them away. Alltel buyout by Verizon is not going to affect the Alltel subscribers immediately. There is no need to panic.

The deal is good all round. By midday on January 9, 2009 the 85,000 employee Verizon Wireless saw its share increase by 6 cents to $32.45.

The multi-purpose Alltel Arena in Little Rock, Ar opened in October 1999. The arena has been a host to a number of events, sporting and otherwise. Trade shows, concerts, conventions, auto racing, wrestling, rodeos, and circuses – the arena has hosted them all. The arena has hosted illustrious names from the music world, including Britney Spears, the Dixie Chicks, and Bruce Springsteen, Elton John, Tim McGraw, Janet Jackson, Cher, Billy Joel, The Eagles, and George Strait among a host of others. The Harlem Globetrotters have also regaled the audience at this arena.

History

In August 1995, the Pulaski County in Arkansas approved building of a multi-purpose arena. Of the two sites visited in North Little Rock, the Multipurpose Civic Center Facilities Board of the Pulaski County, in 1996, opted for the 19.5 acre site as against the 11.6 acre site next to the Broadway Bridge. Instrumental in designing the arena were the Civic Center Design Team (CCDT) consisting of  Burt Taggart & Associates, Architects/Engineers, The Wilcox Group, Garver & Garver Engineering, and Rosser International of Atlanta.

Costing $83 million to build, contributions were made by the Local, State, and private entities. The State of Arkansas contributed $20 million and private sources contributed $17 million. A $7 million contribution, for the naming rights of the arena, was made by the Alltel Corporation, based in Little Rock. The 35,000 square meter arena opened to the public in 1999.

The arena was home to the Trojans of the University of Arkansas from the time the Alltel Arena opened till the team moved to a new stadium in 2005. The arena was also home to the now defunct ice hockey team – the Arkansas RiverBlades of the ECHL (formerly the East Coast Hockey League). It has hosted a number of tournaments, such as the Sun Belt Conference Men’s Basketball Tournament in 2000; South Eastern Conference Women’s Basketball Tournament in 2003 and 2006, with the 2003 event holding the all-time record of the attendance of 43,642 people.

In 2002, the arena hosted the WWE No Mercy event and has also hosted the WWE Smackdown and RAW events.  The Arkansas Awana games in 2006; the South Eastern Conference Gymnastics Championships in 2007; and the NCAA Basket Ball Tournament (Parts of the Rounds 1 & 2 of the Men’s Division I) in 2008; the Alltel Arena in Little Rock, Ar has hosted them all and some.

In 2007, the arena hosted one of the American Idols LIVE! Tour 2007 concerts and on the evening of July 25, 2009 will be hosting the American Idols LIVE! Tours 2009 concerts!

The arena has a 80’ x 40’ portable stage and seats between 15,000 and 18,000 people for concerts. It seats 14,000 people for auto racing and rodeos. In addition, the arena also plays host to a number of events, such as exhibitions, conventions, meetings, and banquets. Cost of the Buyout

It took a little bit of time for the merger to actually take place.  This was simply due to the fact that both companies were trying to agree on the actual cost of the merger.  At the end of the day, Verizon agreed to buy Alltel for a total of 28.1 billion dollars.  Initially, the will pay off the $22.2 billion dollars in debt that Alltel is currently swimming in.  After the debt is all paid off, they will end up purchasing the company for a total of $5.9 billion.  After the entire deal has gone through and is all said and done, Verizon will then become the largest wireless company on the market.

What this Means for Alltel Customers

As soon as the merger occurred, Alltel customers seemed to be a little bit up in arms.  There certainly were a lot of questions floating around as to how their service was going to be affected.  Luckily for them, both Verizon and Alltel have built incredible 3G networks.  This allows those to get better coverage and once the billing systems are simply merged together, everything should be fine.  There was an FAQ that was sent to all Alltel customers that allowed them to get their lingering questions answered.
